BROKER-SHIPPER TRANSPORTATION AGREEMENT

This Broker-Shipper Transportation Agreement ("Agreement") is entered into as of , by and between:

Munda LLC ("Broker"), a Florida limited liability company, MC-1787695, USDOT 4514304, with principal place of business in Miramar, FL;

and

_________________________ ("Shipper").

1. SERVICES

Broker agrees to arrange for the transportation of Shipper's freight by connecting Shipper with qualified, FMCSA-authorized, insured motor carriers. Broker is not a motor carrier and does not transport freight directly.

2. RATE CONFIRMATION

Broker will provide a Rate Confirmation to Shipper before each shipment, specifying the origin, destination, freight description, rate, and any special instructions. Each Rate Confirmation, once accepted, constitutes a binding agreement for that shipment.

3. BROKER COMMISSION

Broker's commission shall be 8% of total freight charges, included in the quoted rate. Shipper will not be charged separately for commission.

4. PAYMENT TERMS

Shipper agrees to pay Broker's invoice within the agreed payment terms as specified in the Rate Confirmation. Late payments shall incur a 1.5% monthly service fee. Shipper is responsible for all accessorial charges (detention, layover, lumper fees, etc.) as agreed upon in the Rate Confirmation.

5. SHIPPER RESPONSIBILITIES

Shipper is responsible for providing an accurate description of all freight tendered, including weight, dimensions, commodity type, and hazmat status. Shipper shall ensure freight is properly packaged and ready for pickup at the scheduled time. Failure to provide accurate information may result in additional charges or refusal of shipment.

6. BROKER SURETY BOND

Broker maintains a $75,000 surety bond (BMC-84) as required by FMCSA regulations, filed with the Federal Motor Carrier Safety Administration.

7. CARRIER SELECTION

Broker will use only FMCSA-authorized carriers with active operating authority and adequate insurance coverage. Broker exercises reasonable care in selecting carriers but is not liable for the acts or omissions of carriers.

8. CLAIMS

All freight claims for loss, damage, or delay must be filed in writing with Broker within nine (9) months of the delivery date (or expected delivery date). Broker will assist Shipper in filing claims with the responsible carrier but is not liable for loss or damage to freight.

9. NON-CIRCUMVENTION

For a period of twelve (12) months following the last shipment arranged under this Agreement, Shipper agrees not to directly contract with any carrier introduced by Broker, without Broker's prior written consent.

10. TERMINATION

Either party may terminate this Agreement with thirty (30) days' written notice to the other party. Termination shall not affect obligations arising from shipments already booked or in transit at the time of termination.

11. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, without regard to conflict-of-law principles. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts located in Broward County, Florida.

12. ELECTRONIC SIGNATURE

The parties agree that this Agreement may be executed by electronic signature, which shall be considered as valid and binding as an original signature. This Agreement is enforceable under the Electronic Signatures in Global and National Commerce Act (E-SIGN Act, 15 U.S.C. 7001 et seq.) and the Florida Uniform Electronic Transactions Act (Florida Statutes 668.50).

13. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements, representations, and understandings. This Agreement may only be amended in writing signed by both parties.
